王新雨律师，2019年考取美国纽约州律师资格，本科毕业于山东大学主修法学，中国政法大学国际经济法硕士学位，美国南卫理工会大学法学硕士学位。王新雨律师在美国读书期间取得了美国纽约州律师执业资格。

Attorney Wang Xinyu graduated with a Bachelor's degree in Law from Shandong University. She pursued a Master's degree in International Economic Law at the China University of Political Science and Law. During this period, from 2018 to 2019, she successfully obtained a Master of Laws (LL.M.) degree from Southern Methodist University. While studying in the U.S., Attorney Wang successfully obtained admission to the New York State Bar.

中国政法大学毕业后，王新雨律师在北京市金杜律师事务所作为实习生参与了外商投资法律服务、不良资产处置等领域的工作。在通过中国执业律师申请考核后，以律师身份主要从事律师非诉业务，包括参与法律尽职调查，审阅及修改客户业务合同，进行专项问题法律研究，参与起草招股书及中国法律意见书，参与实地访谈等。先后参与并协助东风集团等企业的IPO项目，字节跳动、碧桂园、小红书、SIG等国内外诸多知名企业的投资项目，微盟集团下属公司Weimob Investment Limited境外发行可转换债项目，涉及业务的领域及行业极为广泛。

After graduating from the China University of Political Science and Law, Attorney Wang Xinyu worked as an intern at King & Wood Mallesons (KWM) in Beijing, where she gained experience in areas including foreign investment legal services and non-performing asset disposal.Following her qualification as a practicing lawyer in China, she primarily engaged in non-litigation legal services as an attorney. Her responsibilities included: Participating in legal due diligence; Reviewing and revising client business contracts; Conducting legal research on specialized issues; Assisting in drafting prospectuses and China Law Opinion Reports; Participating in on-site client interviews. She has

successively participated in and supported projects for numerous prominent domestic and international enterprises, including: IPO projects for companies such as Dongfeng Motor Group; Investment projects for renowned companies

including ByteDance, Country Garden, Xiaohongshu (RED), and SIG; The offshore convertible bond issuance project for Weimob Investment Limited (a

subsidiary of Weimob Group). Her experience spans an extensive range of business sectors and industries.
